Standard terms and conditions of sale.
These terms govern every trade sale by Lacquerite Ltd, company number 516806. They apply to the exclusion of any other terms, including the buyer’s own.

- 1. Application of Terms and Conditions These terms govern every sale, to the exclusion of the buyer’s own terms, once a quotation or order is accepted.
- 2. Interpretation Defines Buyer, Seller (Lacquerite Ltd, company 516806), Goods, Contract Price and related expressions.
- 3. Basis of Sale No contract binds Lacquerite until written acceptance, delivery or invoice. Price lists are not offers.
- 4. Orders and Specifications Orders need written confirmation. Catalogue images are a guide. Accepted orders cannot be cancelled without written agreement and an indemnity.
- 5. Price Price is the current list or quotation. Quotations last 30 days. VAT is extra. Prices may rise for costs outside Lacquerite’s control.
- 6. Payment Invoices are due within 30 business days, or as agreed in writing. Credit may be withdrawn if references or creditworthiness are not satisfactory.
- 7. Delivery Delivery in Ireland and Northern Ireland to the stated address, or collection from Tullamore. Dates are approximate unless agreed in writing.
- 8. Non-Delivery Late delivery after a missed date does not of itself create liability where the goods are subsequently delivered.
- 9. Inspection / Shortage Inspect on delivery. Written shortage or damage claims must reach Lacquerite within 2 business days.
- 10. Risk and Retention of Title Risk passes on delivery or collection. Title stays with Lacquerite until paid in full. Goods may be repossessed if unpaid.
- 11. Assignment Lacquerite may assign the contract. The buyer may not assign without written consent.
- 12. Defective Goods Defects must be notified in writing within 2 business days. Returns need prior written agreement. Liability is limited as set out in the terms.
- 13. Buyer's Default Late payment can cancel or suspend deliveries and withdraw credit. Insolvency makes sums immediately due.
- 14. Limitation of Liability Liability is limited to the contract price, except for death, personal injury, fraud, or anything that cannot legally be excluded.
- 15. Confidentiality, Publications and Endorsements Buyer must keep Lacquerite business information confidential and must not use marks without written authority.
- 16. Communications Notices are in writing, including email, to the last notified address.
- 17. Force Majeure Neither party is liable for delay caused by events beyond reasonable control.
- 18. Waiver Failure to enforce a term is not a waiver of that term or any other.
- 19. Severance If a provision is unenforceable, the rest of the contract remains in force.
- 20. Third Party Rights A person who is not a party has no rights under the contract.
- 21. Law and Jurisdiction Irish law. Disputes fall within the courts of the Republic of Ireland.
